1. Who we are

CoPrep AI Inc. ("CoPrep AI", "we", "us", or "our") is a company incorporated and operating under the laws of Ontario, Canada. These Terms & Conditions ("Terms") apply to your access to and use of our website, applications, and services (collectively, the "Service").

2. Eligibility

You must be at least 13 years old to use the Service. If you are under the age required in your jurisdiction, you may use the Service only with the involvement of a parent or guardian who agrees to these Terms on your behalf.

3. Accounts and registration

Certain features require registration. You agree to provide accurate, current, and complete information during registration and to keep your account information updated. You are responsible for safeguarding your account credentials and for any activity that occurs under your account.

4. Subscriptions, payments and refunds

Some features are available only through paid subscriptions. By purchasing a subscription, you authorize us to charge your chosen payment method and agree to any recurring billing terms displayed at purchase. Subscriptions automatically renew unless you cancel before the renewal date. Refunds are not guaranteed but may be granted at our discretion or as required by law. Please review any refund or cancellation policy presented at the time of purchase.

5. Use of the Service

You may use the Service only in compliance with these Terms and all applicable laws. You will not: (a) reverse engineer or attempt to extract source code; (b) interfere with the operation of the Service; (c) use the Service to harass or exploit others; or (d) upload or distribute malicious content.

You agree not to use the Service to:
- Cheat on interviews, assessments, or exams
- Harass, exploit, or impersonate others
- Upload malicious code, viruses, or harmful content
- Circumvent security or interfere with the Service

6. User content

The Service may allow you to submit content ("User Content"), such as resumes, profile details, recordings, and other materials. You retain ownership of User Content you submit, but you grant CoPrep AI a non-exclusive, worldwide, royalty-free license to use, host, store, reproduce, modify, create derivative works of, and distribute that content as necessary to provide and improve the Service.

You are solely responsible for the content you upload. You represent that you have the necessary rights to submit such content. We may remove or restrict content that violates these Terms.

7. Intellectual property

All rights, title and interest in and to the Service and its content (excluding User Content) are owned by CoPrep AI or its licensors. You may not copy, modify, distribute, sell, or lease any part of our Service or included intellectual property without our prior written consent.

8. Third-party content and links

The Service may contain links to third-party websites or resources. We do not control and are not responsible for third-party content, policies, or practices. Links are provided for convenience and do not imply endorsement.

9. Privacy

Our Privacy Policy describes how we collect, use, and store personal information. By using the Service, you consent to our practices described in the Privacy Policy. Depending on your location, additional rights may apply under data protection laws such as GDPR (EU) or PIPEDA (Canada).

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY LAW, "COPREP AI" DISCLAIMS ALL WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL "COPREP AI" BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF DATA, PROFITS, REVENUE, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR IN CONNECTION WITH THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR AGGREGATE LIABILITY FOR CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS IS LIMITED TO THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRIOR TO THE EVENT GIVING RISE TO LIABILITY, OR ONE HUNDRED DOLLARS (USD 100), WHICHEVER IS GREATER.

12. Indemnification

You agree to indemnify and hold CoPrep AI and its officers, directors, employees, and agents harmless from any claim or demand arising out of your use of the Service, your violation of these Terms, or your violation of any rights of another.

13. Termination

We may suspend or terminate your access to the Service at any time for violation of these Terms or for other conduct we deem harmful. You may cancel your account at any time through your account settings. Termination does not relieve you of obligations accrued prior to termination.

14. Governing law and dispute resolution

These Terms are governed by the laws of Ontario, Canada, without regard to conflict of law rules. You and CoPrep AI agree to first attempt to resolve disputes through good-faith negotiation. If resolution cannot be reached, disputes will be submitted to binding arbitration in Ontario, Canada, where permitted by law.

15. Changes to these Terms

We may update these Terms from time to time. If we make material changes we will try to provide notice (for example, via email or in-product notification). Continued use of the Service after changes means you accept the new Terms.

We may also change subscription pricing at any time.
